Terms of Service

These are the general terms and conditions for B2B services of Praxis Legal. By using our software and services, you agree to these terms. Praxis Legal Practice Suite is designed exclusively for legal professionals and law firms.

1. Definitions

"Praxis" Praxis Legal, with registered office in Belgium
"Client" The business or professional who subscribes to a subscription
"Software" The Praxis practice management software including desktop, mobile and web applications
"Praxis Cloud" The optional cloud storage service for synchronization
"Services" All software and support services provided by Praxis
"User" An individual authorized by the Client to use the Software under the Client's subscription

2. Scope of Application

These terms apply to all agreements between Praxis and the Client concerning the use of the Software and Services. These terms are intended exclusively for B2B relationships in accordance with Article XII.1 of the Belgian Code of Economic Law.

Deviating terms of the Client are expressly excluded, unless otherwise agreed in writing.

⚠️ B2B Only: Praxis Legal Practice Suite is designed for legal professionals and businesses. Consumer protection laws (including withdrawal rights) do not apply to B2B contracts.

3. Subscriptions and Pricing

3.1 Subscription Plans

All prices are exclusive of VAT (21%). Annual payment entitles you to 2 months free.

3.2 Billing

Billing occurs monthly or annually in advance. Invoices are payable within 14 days. Late payment automatically incurs interest in accordance with the Belgian Law on Combating Late Payment in Commercial Transactions (Law of August 2, 2002).

3.3 Price Changes

Price changes are announced at least 30 days in advance. Early adopters retain their original price for the first 24 months (Price Lock Guarantee).

3.4 PEPPOL Electronic Invoicing

Business clients with a Belgian VAT number receive invoices via the PEPPOL network in accordance with Belgian law on mandatory B2B electronic invoicing (effective January 1, 2026).

4. License and Usage Rights

Praxis grants the Client a non-exclusive, non-transferable right to use the Software during the subscription period. This right includes:

5. Service Level Agreement (SLA)

5.1 Availability

For the Praxis Cloud service, Praxis targets an availability of 99.5% on an annual basis, measured excluding planned maintenance.

5.2 Maintenance

Planned maintenance is announced at least 48 hours in advance and preferably takes place outside office hours (weekends or 22:00-06:00 CET).

5.4 Service Credits

In case of unavailability exceeding the SLA threshold, the Client may claim service credits up to a maximum of 10% of the monthly subscription cost.

6. Data and Privacy

6.1 Local Processing (Default)

🔒 Privacy by Design: The core of Praxis functions entirely locally. Client data is stored by default on the Client's devices or their own cloud storage (OneDrive, Dropbox, etc.). Praxis has no access to this data.

6.2 Praxis Cloud (Optional)

If the Client opts for Praxis Cloud, data is stored encrypted in EU data centers (Hetzner, Germany). See our Privacy Policy and Data Processing Agreement.

7. Intellectual Property

All intellectual property rights in the Software remain the property of Praxis. The Client retains all rights to the data entered by them.

Praxis reserves the right to use anonymized, aggregated usage statistics for product improvement.

8. Liability

8.1 Limitation

Praxis's liability is limited to the amount of subscription fees paid by the Client over the last 12 months.

8.2 Exclusions

Praxis is not liable for:

8.3 Force Majeure

Neither party is liable for failures caused by force majeure in accordance with Article 5.226 of the Belgian Civil Code, including but not limited to: cyberattacks, natural disasters, war, strikes, government measures, or pandemics.

8.4 Indemnification

The Client agrees to indemnify and hold harmless Praxis from any claims, damages, or expenses arising from the Client's use of the Software or violation of these Terms.

9. Duration and Termination

9.1 Term

Subscriptions are entered into for the chosen period (month or year) and are automatically renewed unless cancelled.

9.2 Cancellation

Cancellation can occur at any time with effect at the end of the current subscription period. No refund for already paid periods.

9.3 Data Export

Upon termination, the Client may export their data for 30 days. After that, any cloud data will be permanently deleted.

9.4 Suspension

Praxis may suspend access in case of:

10. Governing Law and Disputes

Governing Law: Belgian law applies to this agreement, excluding the Vienna Sales Convention (CISG).

Jurisdiction: Disputes shall preferably be resolved amicably. Failing that, the courts of Brussels, Belgium have exclusive jurisdiction.

11. Changes to Terms

Praxis may modify these terms. Changes are announced 30 days in advance by email. Continued use after the modification date implies acceptance.

12. Miscellaneous

12.1 Entire Agreement

These terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between the parties.

12.2 Severability

If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

12.3 Assignment

The Client may not assign rights or obligations under this agreement without written consent. Praxis may assign to a successor or affiliate.
